Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the services provided by Helpify (“Helpify,” “we,” “us,” or “our”). By engaging our services — whether through a signed proposal, statement of work, or verbal agreement — you (“Client”) agree to be bound by these Terms. If you do not agree, do not engage our services.

2. Services

Helpify provides done-for-you AI customer support automation for e-commerce brands. Services include, but are not limited to: AI agent design and development, knowledge base construction, integration setup (Shopify, Gorgias, Zendesk, ShipStation, and other platforms), deployment, monitoring, and ongoing maintenance as described in the applicable Statement of Work (“SOW”).

The specific scope, deliverables, timelines, and pricing for each engagement are defined in the SOW agreed upon by both parties. In the event of a conflict between these Terms and an SOW, the SOW prevails.

3. Client Obligations

To enable Helpify to deliver the services, the Client agrees to:

  • Provide timely access to required platforms, credentials, and documentation as requested.
  • Designate a point of contact who can respond to questions within two (2) business days.
  • Review and approve deliverables within the timelines specified in the SOW.
  • Ensure that all data and content provided to Helpify is accurate, lawful, and owned or licensed by the Client.
  • Comply with the terms of service of all third-party platforms used in the engagement (Shopify, Gorgias, Zendesk, etc.).

4. Intellectual Property

Upon full payment, all custom-built AI agent configurations, knowledge bases, and workflows created specifically for the Client under an SOW become the property of the Client. Helpify retains ownership of its underlying methodologies, frameworks, templates, and tools used in the delivery of services.

The Client grants Helpify a limited, non-exclusive license to access and use the Client’s data, platform accounts, and materials solely to the extent necessary to deliver the agreed services.

5. Data and Privacy

In the course of providing services, Helpify may access Customer support conversations, Shopify order data, product catalog data, and helpdesk records. This data is accessed solely for the purpose of building, training, and maintaining the AI agent.

Helpify does not sell, rent, or share Client data with third parties for commercial purposes. Data is shared only with sub-processors required to deliver the service (such as AI model providers, automation platforms, and cloud infrastructure providers), each of which is subject to appropriate data protection agreements.

6. Confidentiality

Both parties agree to keep confidential any non-public business information, technical data, pricing, and trade secrets disclosed during the engagement. This obligation survives termination of the agreement for a period of two (2) years. Neither party will use the other’s confidential information for any purpose other than fulfilling obligations under these Terms.

7. AI Limitations and Disclaimer

The Client acknowledges that AI-generated responses may occasionally be inaccurate, incomplete, or inappropriate. Helpify implements safeguards including confidence thresholds, human escalation triggers, and quality monitoring, but cannot guarantee that the AI agent will resolve every inquiry correctly.

The Client is responsible for reviewing the agent’s performance, approving the go-live deployment, and maintaining human oversight for escalated or high-risk interactions. Helpify is not liable for decisions made by end customers based on AI-generated responses.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Helpify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, even if advised of the possibility of such damages.

Helpify’s total liability to the Client for any claim arising out of or related to these Terms or the services shall not exceed the total fees paid by the Client to Helpify in the three (3) months immediately preceding the event giving rise to the claim.

9. Term and Termination

The engagement begins on the date of the signed SOW or first payment, whichever is earlier, and continues on a month-to-month basis following any initial term specified in the SOW.

Either party may terminate the agreement with thirty (30) days’ written notice. Upon termination, the Client shall pay for all services rendered through the effective termination date. Helpify will provide a reasonable transition period to hand over all configurations and documentation to the Client.

Helpify may terminate immediately if the Client breaches these Terms or fails to make payment within fourteen (14) days of the due date.

10. General Provisions

These Terms constitute the entire agreement between the parties with respect to their subject matter and supersede all prior agreements and understandings. If any provision is found unenforceable, the remaining provisions remain in full effect.

Helpify reserves the right to update these Terms at any time. Material changes will be communicated to active Clients via email at least fourteen (14) days in advance. Continued use of the services following notice constitutes acceptance of the updated Terms.
